Orphan Structures

We administer two Swedish business foundations, established to be parent foundations in Nordic orphan structures.

We offer comprehensive support for the establishment and ongoing management of orphan structures. Our services include:

Onboarding and Initial Work

• Establishing the structure for the transaction and drafting the application to the Foundation for its participation in the transaction
• Facilitating the Foundation’s acquisition of a shelf company to form the SPV
• Implementation of the agreed structure, including review of agreements and execution of transaction documents and loan agreements
• Establishment of a bank account for the SPV
• Handling the annual fee to the Foundation for its participation in the transaction

Administration of SPV

• Provision of directors
• Provision of registered address and mail handling
• Management of administrative tasks related to the transaction, such as control and purchase of receivables according to agreed eligibility criteria
• Accounting and bookkeeping
• Corporate secretarial tasks, including drafting of board and shareholder resolutions, review of agreements to be entered into by the SPV, and other legal administrative tasks
